# Legal notices

## Legal positioning

### Botlyz is a software editor, not a fund manager

**Botlyz publishes and distributes automated trading software (SaaS).** Botlyz is not a financial services company, not a wealth manager, not an investment adviser, and never holds users' funds.

Botlyz grants you a license to use its software. The software lets you:

* Configure automated strategy parameters
* Connect your account to a DEX (Lighter) via an API key
* Run the strategy mechanically according to your parameters
* Track performance through a dashboard

All trading decisions and control of the funds remain **your sole responsibility**.

### Non-custodial: you keep full control

**Botlyz never holds your funds.**

Your assets remain in your personal account at Lighter, at your own Ethereum address. Botlyz accesses no funds and can never withdraw, transfer, or freeze them.

The connection between Botlyz and your account uses a "trade-only" API key (placing and canceling orders), with no withdrawal or transfer permission. This configuration is:

* **Signed by you** (EIP-712)
* **Revocable at any time** directly at Lighter, without going through Botlyz
* **Limited to the** Lighter **protocol** (no access to other accounts)

### No investment advice

**Botlyz gives no advice on how to use the software.**

* Botlyz does not recommend any particular allocation, leverage, or strategy.
* Botlyz neither promises nor guarantees any gain.
* Botlyz does not encourage you to invest or trade.
* The items displayed (historical data, backtests) are provided for informational purposes and are not predictive.

Each user is responsible for their trading decisions and their capital. Trading carries a risk of loss, and past performance is no guarantee of future performance.

## Disclaimers and risk warnings

### Risk of total loss of capital

Trading cryptocurrencies and derivative instruments is **highly risky**. Your capital may be entirely lost, in particular in the event of:

* Extreme market volatility
* Position liquidation (leverage too high)
* Configuration or strategy logic error
* Security breach or unauthorized access
* Shutdown or malfunction of the Lighter network
* Sudden change to the protocol's parameters

**Never invest more than you can afford to lose.**

### Leverage and liquidation

Using leverage amplifies your gains AND your losses. For example:

* 2x leverage: an adverse move of about 50% can lead to liquidation
* 10x leverage: an adverse move of about 10% can lead to liquidation
* 20x leverage: an adverse move of about 5% can lead to liquidation

### Backtests are not indicative

Backtests are based on historical data and rely on simplifying assumptions:

* Estimated fees and slippage (imprecise compared to reality)
* Liquidity assumed to be available (not guaranteed in practice)
* Absence of unexpected market shocks

**Backtests NEVER guarantee future performance.** They are an evaluation tool, not a promise of return. See [Backtest](/docs/english/backtest.md).

### Mechanical execution without supervision

Strategies run **automatically and without any human intervention from Botlyz.** Botlyz does not:

* monitor your positions in real time;
* intervene if the strategy drifts;
* stop a position if the market collapses;
* adjust the parameters on your behalf.

The strategy executes orders according to your configuration. It is up to you to monitor your positions and adjust them if necessary.

### Unregulated DEX, smart contracts, technological risks

Lighter is a **blockchain-based DEX (decentralized exchange)**, outside European banking regulation. This means:

* **No regulatory protection** comparable to regulated exchanges
* **Smart contract risk**: bugs, exploits, possible vulnerabilities
* **No deposit insurance**: in the event of a breach, your funds are not reimbursed
* **Risk of shutdown or unavailability** of the service without notice
* **Non-recoverability** in the event of an on-chain incident

You accept these risks by using Lighter through Botlyz.

## Fees and pricing

### Botlyz's only fee: the 0.10% protocol fee (10 bps)

The **only** fee associated with Botlyz is a **protocol fee of 10 bps (0.10%)**, automatically charged on the notional volume of each order via Lighter's **Partner Attribution** program, and capped at 10 bps.

This is a **protocol fee, charged and remitted by the platform, and not a Botlyz invoice or commission**. This fee is:

* **Automatic**: charged directly by the Lighter protocol at the moment of execution, not by Botlyz.
* **Capped**: 10 bps (0.10%) maximum.
* **Approved by you** when you connect your first account (off-chain signature).

Examples:

* 100 USDC order: 0.10 USDC in fees
* 10,000 USDC order: 10 USDC in fees

**Botlyz takes no commission on your gains.** There is no performance fee, no result-based billing, no subscription, no charge on PnL, and no billing cycle.

### Fees specific to the Lighter platform

Independently of Botlyz, the Lighter platform applies its own fees (trading fees, funding on perpetual positions, blockchain network fees where applicable). These fees are Lighter's and apply to your account separately.

## Configuration and signature

### EIP-712 signature of configurations

Each strategy is signed by you via **EIP-712**, a human-readable off-chain signature standard. Your signature covers:

1. The strategy and its version (engine hash)
2. **All parameters** (indicators, leverage, allocation, SL/TP, slippage)
3. Any reoptimization rule (frequency, bounds, manual validation)
4. **Formal acknowledgment of the risks** (total loss, liquidation, no advice)
5. **Approval of the protocol fee** (10 bps via Partner Attribution)
6. The hash of the accepted Terms of Use

### Configuration changes

**Changing parameters**: generates a new configuration and requires a new EIP-712 signature.

**Major change** (logic, engine version): requires a new EIP-712 signature with prior notification.

**No silent change** is ever applied. You are always informed and must sign the changes.

## API key security

### Security measures applied to your API keys

The software applies the following technical measures to your API keys:

* **Encryption at rest** in the database
* **Isolation** per user and per account
* **Limited permissions** (trade-only, never withdrawal)

These measures are implemented without any guarantee of absolute security: no system is infallible.

**In the event an API key is compromised:**

* The attacker could place orders (trading).
* The attacker could NOT withdraw your funds (no withdrawal permission).
* You can revoke the key immediately at Lighter.
* Contact support immediately.

### Your responsibility

You are responsible for:

* Keeping your recovery phrase (seed phrase) secure
* Not sharing your private keys
* Using an API key dedicated to Botlyz
* Monitoring your account activity
* Immediately revoking any compromised key

## Referral program (coming soon)

A referral program is **under development** and is not yet active. No fee schedule, no referral compensation, and no notion of assets under management apply to date. As Botlyz remains non-custodial, it manages no assets on behalf of users.

## Limitation of liability

### Limited warranties

Botlyz provides the software "as is", without warranty. Botlyz **does not guarantee**:

* The absence of bugs or errors
* Perfect execution of strategies
* 24/7 availability of the service
* Absolute security of API keys
* Any financial result or gain

### Liability exclusions

To the extent permitted by applicable law, Botlyz cannot be held liable for:

* Financial losses related to trading
* Position liquidation
* Security breach
* Service unavailability (outage, maintenance, attack)
* Software bugs or errors
* Non-recoverability of on-chain funds

You accept these risks by using Botlyz.

### Limitation of civil liability

To the extent permitted by law, Botlyz's total liability to you is limited to the total amount of fees you have paid for the software over the past 12 months.

**Exception**: this limitation does not apply in cases of fraud, gross negligence, or breach covered by a mandatory legal provision.

## General terms of use

### Acceptance of the terms

By using Botlyz, you accept:

1. This legal notice in full
2. The complete Terms of Use (ToU)
3. The detailed risk warnings above
4. Full responsibility for your trading decisions
5. The absence of any warranty as to results

### Modification of the terms

Botlyz may modify these terms. Modifications apply from their publication. If you do not accept the new terms, stop using Botlyz.

### Termination

You can stop using Botlyz at any time:

1. Stop all your strategies
2. Close your open positions
3. Revoke your API keys at Lighter
4. Optional: delete your account

Botlyz may terminate your account in the event of a serious breach of the terms.

## Personal data and privacy

### Data collected

Botlyz collects:

* Your Telegram ID and username
* Your email address
* Your Ethereum / wallet address
* Your trade history (for PnL and backtesting)
* Your API keys (encrypted)
* Your strategy parameters
* Your execution logs

### Use of data

Botlyz uses your data to: run strategies, calculate your PnL, improve the software, provide technical support, and comply with its legal obligations.

### Confidentiality

Your data is confidential (not shared with third parties without your consent), encrypted in transit and at rest, and under your control (you can request its export or deletion).

**Exception**: Botlyz may disclose your data if required by law (subpoena, investigation, etc.).

### GDPR rights (where applicable)

If you are an EU resident, you have the rights of access, rectification, erasure, portability, and objection. To exercise them, contact support with your registered email.

## Legal questions and jurisdictions

### What is my status when using Botlyz?

* **Customer** of a software editor
* **Autonomous trader**, responsible for your decisions
* **Signer** of your configuration (EIP-712)
* **Not advised**: Botlyz does not advise you

### Is there a Know Your Customer (KYC) obligation?

Currently, Botlyz collects your email and your Telegram ID. KYC rules vary by jurisdiction. Botlyz may require identity verification if the law or a partner requires it.

### Taxes and legal obligations

**Botlyz gives no tax advice.** Trading gains and losses are subject to taxation according to your jurisdiction. It is up to you to declare your gains, pay the taxes due, and keep supporting documents.

### Applicable jurisdiction

The terms and any dispute are governed by the applicable law indicated in the complete ToU. Any dispute will be brought before the competent courts.

## Legal compliance

### Status and regulation

Botlyz positions its model as a **software editor (SaaS)**, and not as a financial services provider, which reflects:

* The provision of software configured and signed by the customer
* The absence of discretionary power (all parameters are visible and signed)
* The absence of a management mandate (software license, not a management contract)
* The absence of advice

This approach aims to stay outside the scope of certain regulations applicable to financial services. However, **no classification is guaranteed**: the legal qualification depends on the applicable law and its evolution. Consult a qualified professional in case of doubt.

### Ongoing compliance

Botlyz strives to comply with applicable laws. In the event of a regulatory change, Botlyz will notify users; the changes may affect the service, and you have the right to stop using it.
